AHJA LONYAE — TERMS OF SERVICE AGREEMENT

Effective Date: April 19, 2026

This Terms of Service Agreement (“Agreement”) is entered into between Ahja Lonyae (“Designer”) and the Client (“Client”) upon payment of the first invoice.

1. Agreement Activation

By submitting payment on any invoice issued by Ahja Lonyae, the Client acknowledges and agrees that:

  • A formal business relationship has been established
  • The Client is legally bound by the terms outlined in this Agreement
  • No separate signature is required for enforcement

Payment = Agreement.

2. Scope of Services

Ahja Lonyae provides professional creative services including, but not limited to:

  • Brand Strategy & Identity Design
  • Graphic & Digital Design
  • Print Design & Production Preparation
  • Website Design & Creative Direction

All services will be defined within the Client’s invoice, proposal, or written agreement.

Any work requested outside of the agreed scope will require a new invoice.

3. Payment Terms

  • All projects require an initial payment before work begins
  • Payment plans must be completed according to agreed schedule
  • Late payments may result in project delays or suspension
  • All payments are non-refundable once work has commenced

No payment = No work.

4. Client Responsibilities

The Client agrees to:

  • Provide all necessary content, information, and feedback in a timely manner
  • Maintain clear and consistent communication
  • Review and approve deliverables within a reasonable timeframe

Delays caused by the Client may extend project timelines.

5. Intellectual Property & Ownership

5.1 Final Deliverables

Upon full payment, the Client receives ownership rights to the final approved deliverables.

5.2 Working Files

  • Editable/source files (AI, PSD, etc.) are not included unless otherwise stated
  • Release of working files may require an additional fee

6. Fonts, Assets & Third-Party Resources

To ensure full legal ownership and usage rights:

  • All fonts, stock images, mockups, and third-party resources must be purchased by the Client
  • These purchases may be:
    • Made directly by the Client
    • Or invoiced separately by Ahja Lonyae for reimbursement

Ahja Lonyae does not transfer ownership of:

  • Fonts
  • Licensed assets
  • Subscription-based resources

The Client is responsible for maintaining proper licenses.

If the Client refuses to purchase required assets, alternative options may be used at the Designer’s discretion.

7. Creative Control

Ahja Lonyae retains full creative direction over all design work.

The Client agrees to:

  • Trust the design process
  • Provide constructive feedback within scope

Excessive revisions, direction changes, or deviations from the original vision may require additional fees.

8. Revisions

  • Projects include a limited number of revisions as outlined in the proposal
  • Additional revisions will be billed separately
  • Major changes after approval will be treated as a new project phase

9. Project Timeline & Delays

Project timelines are estimates and may be affected by:

  • Client response time
  • Scope changes
  • External dependencies

If the Client becomes unresponsive for 14+ days:

  • The project may be paused
  • A restart fee may apply

10. Termination

Ahja Lonyae reserves the right to terminate a project if:

  • The Client violates this Agreement
  • Communication becomes unproductive or disrespectful
  • Payment terms are not honored

In such cases:

  • All completed work remains property of Ahja Lonyae until paid in full
  • No refunds will be issued

11. Barter & Donation Agreements

Barter and donation-based services are:

  • Accepted at the sole discretion of Ahja Lonyae
  • Governed by the same standards as paid projects
  • Required to have clearly defined value, deliverables, and timelines

Failure to deliver agreed barter items voids the agreement and may result in invoicing for services rendered.

12. Limitation of Liability

Ahja Lonyae is not liable for:

  • Business outcomes, profits, or losses resulting from design work
  • Third-party printing errors or platform issues
  • Improper use of delivered assets

The Client assumes full responsibility for implementation and usage.

13. Portfolio & Promotion Rights

Ahja Lonyae reserves the right to:

  • Display completed work in portfolios, websites, and marketing materials
  • Share project outcomes for promotional purposes

Confidential projects must be requested in writing before project start.

14. Governing Law

This Agreement shall be governed in accordance with the laws of the State of Illinois, United States.

15. Acceptance of Terms

By paying the initial invoice, the Client confirms that they:

  • Have read and understood this Agreement
  • Agree to all terms and conditions
  • Enter into a binding business relationship with Ahja Lonyae

Final Note

Ahja Lonyae operates as a premium creative studio built on:

  • Strategy
  • Structure
  • Excellence

This Agreement protects both the Designer and the Client to ensure a professional, respectful, and results-driven experience.
